Terms of Reference |
| 1. | Objects The Association of the Friends of the Diocese of Cyprus and the Gulf (The Association) exists to encourage prayerful fellowship and interest in the work of the Episcopal Church in Jerusalem and the Middle East, within the Diocese of Cyprus and the Gulf. |
| 2. | Committee The Association shall form a committee which shall consist of: |
| (a) | Ex-officio Members | (i) The President of the Association is the Bishop in Cyprus and the Gulf | |
| (ii) Chairman of the Association | |||
| (iii) Officers of the Association. | |||
| (iv) The Bishop’s Commissaries in the UK. | |||
| (v) The Vicar of All Hallows or his representative. |
| (b) | Elected members Eight persons elected by the Annual General Meeting (AGM) for a period of three years with the object of securing representation on the widest possible basis. At the end of three years outgoing members may offer themselves for re-election. |

| (c) | Nominated members Representative of interested organizations working in or otherwise supporting the Diocese, at the invitation of the Committee. |
|
| (d) | Honorary Members Members appointed by the Committee. |
| 3. | Officers The Officers of the Association shall be the Hon. Secretary and Hon. Treasurer. |
| 4. | Appointment of Chairman and Officers The Chairman and Officers shall be elected annually by members of the Association at the AGM after nominations have been approved by the President. They may offer themselves for re-election. If any office shall fall vacant during the year, the Committee shall, with the President’s approval, nominate a person to fill the vacancy. |
| 5. | Quorum There shall be at least three Committee meetings per annum. At these meeting a quorum shall consist of at least one ex-officio and three elected members |
| 6. | Responsibilities of the
Committee The Committee shall be responsible for implementing the objects for which the Association exists. It shall also: |
| (a) | Act as an advisory body which the President may consult. | |
| (b) | Obtain information about the Diocesan work, and make recommendations to the President concerning matters affecting the Diocese. | |
| (c) | Promote and foster fellowship, interest and support among residents and former residents of Cyprus and the Gulf States, and among others who are interested in the work of the Diocese. | |
| (d) | Help in the spread of information and publicity about the work of the Diocese, particularly by promoting membership of the Association. | |
| (e) | ) Raise an Annual Subscription from members of the Association and use any surplus funds in accordance with the Objects of the Association. |
| 7. | .Accounts The Committee shall open and operate a Bank account/accounts as it shall decide. Annual accounts shall be prepared by the Treasurer and submitted to the AGM for approval: accounts shall be audited |
| 8. | Annual Service and AGM The Committee shall arrange for and give to all members notice of an Annual Service and AGM. This may be open to non-members, who shall not, however, have voting rights. |
| 9. | .Dissolution of the
Association The Association may be dissolved by the President after consultation with the Members at the AGM. |
